Company Registration

A company is a legal entity, allowed by legislation, which permits a group of people, as shareholders, to apply to the government for an independent organization to be created, which can then focus on pursuing set objectives, and be empowered with legal rights which are usually only reserved for individuals, such as to sue and be sued own property, hire employees or loan and borrow money.
 

Documents needed to register a company with share capital.

    1. Memorandum of Association
    2. Articles of Association
    3. Valid Identification – Social Security and/or Belize Passport for foreign subscribers/shareholders
    4. Letter from Central Bank if they are foreign subscribers/shareholders
    5. Proof of address for foreign subscribers/shareholders; rental agreement or utility bill.
    6. Letter of Application to the Central Bank for Non-Resident Shareholding in a Company Limited by Guarantee:

Documents needed to register companies limited by guarantee (without share capital), non-profit associations, and churches:

    1. Memorandum of Association
    2. Articles of Association
    3. Letter to the Attorney General Requesting Permission to Omit “Limited”
    4. Letter to the Attorney General Requesting Permission to Omit “Limited”.

*Documents can be obtained from an Attorney-At-Law

Annual Registration
All companies must file either an annual return (for companies with share capital) or an annual list of directors (for companies without share capital) with the company registry.
